1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "User", or "You") and Infynetic Software Solutions ("Infynetic", "Company", "We", "Us", or "Our"), regarding your access to and use of our website ([https://infynetic.com](https://infynetic.com)), as well as any software development, consulting, design, or maintenance services provided by us.
By accessing our website or engaging our software engineering services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree with any part of these Terms, you must discontinue use immediately.
2. Scope of Services
Infynetic provides specialized software development services, including but not limited to:
- Full-Stack Web & Mobile Application Engineering
- Custom B2B SaaS Architecture and Development
- Generative AI & Large Language Model (LLM) Integration
- In-browser CAD, Geometric Algorithms, and Vector Quoting Engines
- Cloud Infrastructure Setup, DevOps, and Performance Tuning
The precise technical scope, milestones, deliverables, timelines, and commercial consideration for any custom engagement shall be defined in an individual Statement of Work (SOW) or Project Agreement executed between the parties.
3. Intellectual Property Rights
Client Work Products: Upon complete settlement of all agreed milestone payments, all custom source code, documentation, assets, and design files produced specifically for the Client under an executed agreement shall become the sole and exclusive intellectual property of the Client, unless expressly agreed otherwise in writing.
Pre-existing Code & Open-Source Tools: Infynetic retains all rights to its background technology, pre-existing libraries, toolkits, and generalized algorithms utilized across projects. Third-party open-source components are governed by their respective licenses (e.g. MIT, Apache 2.0).
4. Client Responsibilities & Co-operation
To ensure timely milestone delivery, the Client agrees to:
- Provide clear and timely project specifications, assets, API keys, and credentials required for implementation.
- Designate an authorized point of contact for review, feedback, and milestone acceptance.
- Provide review feedback within reasonable timeframes (typically 5 business days).
5. Fees, Invoicing & Payments
Payments for services rendered shall follow the schedule established in the relevant project quotation or contract. Invoices are payable within the terms specified therein. We accept bank transfers, UPI, wire transfers, and online merchant payment gateways.
6. Confidentiality & Non-Disclosure
Both parties acknowledge that they may receive proprietary information concerning each other's business, trade secrets, designs, or technical data. Each party agrees to treat all such information as strictly confidential, exercising the same degree of care it uses to protect its own sensitive information.
7. Warranties and Limitation of Liability
Infynetic represents that all software will be engineered using industry-standard engineering practices and verified for defect-free operation prior to delivery. Unless otherwise provided in a service level agreement, all advisory services and website materials are provided "as is".
To the maximum extent permitted by applicable law, Infynetic shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business interruption.
8. Governing Law & Dispute Resolution
These Terms and any dispute arising out of or related to our services shall be governed by and construed in accordance with the laws of the Republic of India. The courts located in Ghaziabad / Delhi-NCR, India, shall have exclusive jurisdiction over any legal proceedings.
